General Terms and Conditions (GTC)

0 Preamble

These General Terms and Conditions form the basis of every contract between the organizer and the customer in connection with all activities carried out in the name of all trade fairs, events, and other activities of Enteco Concept GmbH. They apply in particular, but not exclusively, to:

  • Exhibitors
  • Partners
  • Sponsors
  • Trade and specialist visitors
  • Speakers / Presenters

Definitions
The organizer shall hereinafter refer to Enteco Concept GmbH.
The customer shall hereinafter refer to all exhibitors, partners, sponsors, or other clients who, pursuant to sections 1.1 and/or 1.2, contract with the organizer.
The event shall hereinafter refer to the LOFY – Future Living Show.

1 Contract

1.1 Trade Fair Contract

The trade fair contract (rental of exhibition space) is concluded between Enteco Concept GmbH, hereinafter referred to as the organizer, and the exhibitor. Exhibitors may only be entrepreneurs within the meaning of § 1 (1) UGB. Exhibitors cannot be consumers within the meaning of § 1 (1) KSchG.

The exhibitor must ensure that all obligations relating to the exhibitor are complied with by their employees, representatives, or similar persons.
The trade fair contract applies only to the specific event as per the registration form.

The organizer reserves the right to contract only under these stipulated conditions. Any deviation requires written form and mutual consent. Handwritten amendments on contracts are invalid unless explicitly confirmed in writing by the organizer.

If the event cannot take place physically (see section 7), it will be held digitally, and the fees will be adjusted accordingly.

1.2 Sponsorship Contract

The sponsorship contract (sponsorship placement according to the product catalog) is concluded between Enteco Concept GmbH, hereinafter referred to as the organizer, and the sponsor or partner. Sponsors and partners may only be entrepreneurs within the meaning of § 1 (1) UGB. They cannot be consumers within the meaning of § 1 (1) KSchG.

The sponsor/partner must ensure that all obligations relating to them are complied with by their employees, representatives, or similar persons.
The sponsorship contract applies only to the specific event as per the detailed agreement.

The organizer reserves the right to contract only under these stipulated conditions. Any deviation requires written form and mutual consent.

If the event cannot take place physically (see section 7), it will be held digitally, and the fees will be adjusted accordingly.

1.2.1 Sponsorship Formats

Sponsorship formats are defined and priced by the organizer. Deviations cannot be unilaterally determined by the customer.

1.2.2 Special Form: Presentations

All speakers must comply with the organizer’s code of ethics. Speakers must indemnify and hold harmless the organizer and the event and must do everything in their power to prevent damage to the reputation of the organizer or the event in accordance with or analogous to §§ 111 StGB.

In the event of a breach, the organizer is entitled to claim compensation corresponding to the reputational damage, but at minimum a contractual penalty equal to the agreed contract amount.

1.3 Conclusion of the Contract

The trade fair or sponsorship contract is concluded only upon receipt of an electronic confirmation of the customer’s offer.

1.4 General Obligations and Rights

The organizer reserves the right to unilaterally change the start and duration of the event without the customer being entitled to any compensation claims.

The customer is obligated to participate in the event from the moment of registration, provided a contract is subsequently concluded.

2 Fees

2.1 Amount of Fees

The fee is the amount stated in the transmitted offer and consists of the stand rental and any additional products agreed upon in advance.

Also itemized are, in particular:

  • Statutory charges, if applicable
  • VAT
  • Sponsorship packages

Stand rental is calculated per commenced square meter.

3 Admission and Allocation of Space

3.1 Allocation of Space

The allocation of space is at the sole discretion of the organizer. The organizer has the right to subsequently assign the customer a different exhibition space; the stand area may be altered by up to 15%. In this case, the fee will be adjusted accordingly.

The organizer also reserves the right to relocate entrances and exits to the exhibition grounds.

If the customer has concluded a sponsorship contract that does not specify a stand, they are not entitled to one.

3.2 Admission

Only products listed on the trade fair website may be sold at the event.

4 Cancellation

4.1 Cancellation Terms

The customer has the right to withdraw from the contract subject to the following provisions:

  • Withdrawal up to 12 weeks before the event requires payment of 50% of the agreed fee (including subsequently ordered additional products).
  • Withdrawal within less than 12 weeks before the event requires payment of 100% of the agreed fee (including subsequently ordered additional products).

4.2 Subletting

Subletting the stand to third parties is prohibited. In the event of violation, the customer agrees to pay the cancellation fee in accordance with section 4.1.

5 Invoicing and Payment Terms

5.1 Due Date

After confirmation of the offer by the organizer, the customer will receive an invoice. This invoice is due no later than 8 weeks before the event unless another due date is specified. If the period between invoice receipt and event start is less than 8 weeks, the invoice is due immediately, unless stated otherwise.

5.2 Advance Payment

By paying the invoice, the customer makes an advance payment and only obtains the right to use the stand space after full settlement.

5.3 Payment Default

If the payment deadline (per section 5.1 or invoice) is missed, the organizer is entitled to charge default interest pursuant to § 456 UGB. The organizer may also pass on all costs resulting from the customer’s default.

5.4 Offsetting

Offsetting of mutual claims between the organizer and the customer is excluded unless otherwise agreed.

5.5 Taxes, Fees, and Charges

All taxes, fees, and charges, in particular VAT, legal transaction fees, and advertising levies, are borne by the customer. All stated prices are net, excluding taxes, fees, and charges.

6 Withdrawal from the Contract

The organizer reserves the right to withdraw from the contract with immediate effect in the following cases. In such cases, section 4 applies mutatis mutandis.

These cases include, but are not limited to:

  • Failure to meet payment deadlines under section 5, including default interest
  • Opening of insolvency proceedings against the customer
  • Outstanding claims of the organizer against the customer
  • Breach of statutory or intellectual property regulations by the customer, regardless of fault

In the event of withdrawal, the customer’s admission to the event is immediately revoked.

7 Force Majeure

In cases of force majeure, the customer’s payment obligations remain in full. The application of §§ 1104, 1105 ABGB is contractually excluded.

Compensation Claims due to Force Majeure
The customer has no claims for damages against the organizer for losses resulting from force majeure, in particular in cases of:

  • Strikes
  • Serious political events
  • Official orders
  • Fire
  • Other important reasons beyond the organizer’s control

8 Exhibitor Passes, Visitor Tickets, and Parking Permits

The customer will receive an allotment of visitor and exhibitor passes in accordance with the respective exhibition or sponsorship package. Unless otherwise agreed, the number is five (5). Deviations require a separate agreement with the organizer.

Each customer may order parking permits from the organizer, to be charged in the final invoice. The permits are valid for the duration stated on the permit. The respective price is listed in the exhibitor shop.

9 Stand Construction, Dismantling, and Booth Design

Unless otherwise agreed, the customer is only provided with the exhibition space without furniture; partition walls or furnishings are not included in the organizer’s services.

Structural elements present at the stand (e.g., columns, supports, fire safety equipment) that cannot or may not be removed do not entitle the customer to a reduction of fees.

Stand boundaries must be observed and any encroachment onto neighboring stands avoided. Booth structures may not exceed a height of 2.50 meters.

Construction/booth plans must be submitted to the organizer no later than 10 weeks prior to the exhibition unless otherwise agreed.

The customer must use the exhibition space with utmost care. Any damage attributable to the customer that causes loss to the organizer must be fully compensated by the customer. In particular, the following alterations are prohibited:

  • Any activities altering the substance of the stand (e.g., nailing, drilling, gluing)
  • Affixing wallpaper

During opening hours, the customer must ensure the booth is clearly marked and adequately staffed. Booth construction and furnishing must be completed by 12:00 noon on the day before the event. If the rented space is not occupied by this time and the organizer has not been notified, the organizer reserves the right to reallocate the space without notice. The full contractual fee remains payable.

Setup times as specified in the exhibitor documentation must be strictly adhered to. Deviations are excluded. After dismantling, the original condition must be restored. The customer must compensate the organizer for any damage caused by improper handling.

10 Sales Regulations

At trade or congress fairs, the sale and/or delivery of goods of any kind, including samples, is prohibited. At public fairs, the customer may sell goods directly and deliver them immediately to buyers, provided all applicable laws are observed. The exhibitor undertakes not to conduct sales in a loud or improper manner.

Catering services are provided exclusively by the organizer or its contractual partners. Exceptions require the express written consent of the organizer.

In case of violations, the organizer is entitled, after short notice, to demand cessation of direct sales/delivery and/or catering, or to close the booth.

Furthermore, booth parties/events organized by the customer during the exhibition require a separate written agreement with the organizer.


11 Technical Booth Equipment

Electricity, water, and other technical connections are available for a connection and usage fee. All electrical devices, systems, and installations must comply with ÖVE, local, and event regulations. Electrical installations may only be carried out by licensed companies. Connections and inspections are performed exclusively by the licensed event electrician.

Exhibited machinery must bear a CE certification mark and comply with Machinery Safety Regulation 306. If not, this must be clearly displayed with signage understandable to laypersons.

12 Liability

12.1 Exhibitor/Customer Liability

The customer is liable for any damages caused by themselves, their agents under § 1313a ABGB (e.g., employees), or their exhibition items and equipment, to persons or property. The customer must indemnify and hold harmless the organizer against third-party claims in this regard.

12.2 Organizer Liability

The organizer is not liable to the customer for damages from theft, loss, or damage of any items belonging to the customer by third parties. Liability of the organizer, excluding personal injury, is limited to gross negligence and intent. The organizer is not liable for lost profits. Liability for indirect damages, consequential damages, pure financial loss, or immaterial damages is limited to cases of gross negligence or intent. The burden of proof lies with the injured party.

Any claims by the customer must be reported to the organizer in writing without delay, otherwise they shall be deemed forfeited.

The organizer assumes no liability for incorrect entries in the official online catalog, printed exhibitor directory, or other print materials (printing errors, format errors, misclassification, omission, etc.).

Overnight stays at the event site or outdoor area are prohibited.

12.3 Warranty & Reduction by Half

The organizer excludes any warranty claims of the customer. The right to rescission for lesion beyond moiety (§ 934 ABGB) is excluded pursuant to § 351 UGB.

13 Event or Trade Fair Insurance

Unless otherwise agreed, the organizer does not provide insurance for the customer’s property. This must be arranged separately by the customer.

14 Trade Fair Catalog & Organizer’s Promotional Materials

Every customer is obliged to enter information in the online trade fair catalog. Minimum entries include a company profile, product groups, and company participants.

15 Customer Advertising at the Venue

The customer may advertise their company, projects, or products only within their assigned stand boundaries. If the customer is a partner or sponsor, they may advertise only within the designated areas agreed in their contract.

Violations entitle the organizer to close the booth or remove advertising materials. Any resulting claims by the customer are excluded.

16 Filming and Photography

The customer is permitted to process images in accordance with §§ 12 and 13 DSG, provided all data protection and personal rights obligations are observed.

Filming or photographing exhibition items or products of other customers is prohibited. Outside their own stand, customers are not permitted to make or commission films, photographs, drawings, or other depictions of exhibition items or products.

Hiring video teams requires confirmation and registration with the organizer.

17 Cleaning

The organizer is responsible for cleaning the venue and general exhibition areas. The customer is responsible for cleaning their stand/sponsorship area and for disposing of waste in designated containers.

If the customer or their agents leave waste, packaging, or litter at their booth or adjacent aisles, disposal will be carried out at the expense of the responsible party.

Stand cleaning may be performed by an approved cleaning partner if agreed separately between the organizer and customer.

18 Transport and Parking

Driving motor vehicles inside the exhibition halls is strictly prohibited. Customers may unload only in designated areas during setup and dismantling. Entrances, driveways, fire lanes, and similar areas must remain unobstructed at all times.

The organizer reserves the right to remove unauthorized vehicles of the customer or their agents at the customer’s expense.

19 Stand Security

The organizer provides general hall security (external monitoring of halls and entrances) from setup through dismantling. Individual booth security is not included. Customers must secure their stands themselves.

20 Right of Lien

To secure outstanding claims against the customer, the organizer has a lien on the customer’s exhibition items. The organizer may remove and store the pledged items from the stand at the customer’s expense. Enforcement of the lien to cover outstanding claims is only permitted after notifying the customer.

21 Breach of General Terms and Conditions or Legal Violations

The organizer requires the customer to comply fully with all relevant laws, irrespective of the legal field. The customer must follow the organizer’s instructions under all circumstances.

Disregarding contractual obligations or organizer instructions results in booth closure (without prior warning). The customer shall have no claims against the organizer arising from such closure.

22 Data Protection

The organizer processes personal data on the basis of applicable legal provisions. Reference is made to the organizer’s current privacy policy.

The customer (on behalf of their employees) expressly consents under § 107 TKG to receiving newsletters (by mail and electronically) and to telephone contact. This consent may be withdrawn by email to office@enteco.at.

23 General Provisions

Only Austrian law applies. Place of jurisdiction is the competent court at the organizer’s seat (Vienna).

If any contractual provision is declared invalid, the validity of the remaining provisions shall remain unaffected; invalid provisions shall be replaced by terms most closely reflecting the parties’ intentions.

Gender-specific terms apply to all genders equally.

Contractual amendments must be made in writing or, at minimum, electronically with mutual consent.
